根据清科研究中心的数据显示,2011年我国并购市场在经济的强劲发展和产业整合的加速的大环境下,实现了火爆增长的态势,并购活跃度和并购金额创下六年以来的历史新高。数据显示,在清科研究中心研究范围内,中国并购市场共完成 1157 起并购交易,披露价格的985起并购交易总金额达到669.18亿美元。与2010年完成的622起案例相比,同比增长高达 86%,并购金额同比增长 92.3%。随着我国资本市场的日益成熟和完善,并购已成为企业扩大市场占有额、提高竞争能力和经济效益的有效途径。然而,企业并购也是一种高风险的投资活动,由于主并企业对于目标企业信息的不对称性,行业外部环境的不确定性加上经营管理活动的复杂性导致了主并企业在进行并购时存在许多风险,如经营风险、财务风险、法律风险、人事风险、文化风险、市场风险等,其中财务风险是企业并购成功与否的重要影响因素。并购财务风险的控制任务十分艰巨,许多并购案例失败的主要原因之一就是没有解决好并购中的财务问题,使企业的财务状况恶化,从而对企业的运营状况产生根本影响。当前我国企业并购中普遍存在一个问题,即对并购风险的认识不足,缺乏对并购风险的翔实的研究。对于企业而言,并购本身不是目的,并购后能够达到预期的效果才算是成功。因此,企业并购要取得成功,必须要对风险因素进行理性的分析和识别。
基于上述背景,本文选择企业并购的财务风险为题,从企业并购财务风险的基本理论出发,首先提出了企业并购过程中存在的财务风险,然后分析了企业并购过程中主要财务风险的形成原因,在此基础上提出应对企业并购过程中财务风险的具体规避措施。结合以上分析,本文在最后以H公司的并购作为案例,深入分析其并购过程中遇到的财务风险问题,把所研究的理论和实践结合起来,以达到理论指导实践的目的。同时以案例分析的形式,对我国企业实际并购活动中应该如何识别、防范财务风险起到一定的启示作用,以期能为企业在并购实践中预防、规避和控制财务风险提供有益的借鉴。

企业并购财务风险产生原因的研究。代表性的学者及观点有:Philio.H.Mirvis(1992)
认为企业并购失败的原因有两个方面:一方面是被并购企业的业务与并购企业的战略目标不一样,另一方面是对企业并购中财务风险不够重视,导致并购计划包括融资等行为的失败。Robert.J.Borghese、paul.F.Borghese(2001)认为企业并购失败的原因主要是并购双方的战略及组织适应性差、缺乏有效的整合计划是企业并购风险。
并购定价方面的研究。代表性的学者和观点有:James F.Nielsen和Ronald W.Melicher(1973)对并购溢价进行了专题研究,认为并购方对并购后经营协同效益和财务协同效应的预期导致了并购溢价的出现。但是在换股并购方式中,并购溢价中的财务协同效益并不能明确鉴别出来。
企业并购财务风险的控制的研究。国外研究学者在风险控制的操作程序上,主要的做法是:制定风险确认、评估的标准和方法及风险控制的操做流程;确定风险项目;进行风险评估;对于企业并购财务风险的管理,一是要风险避让,西方并购实践中总结出的风险避让方法是:陈述与保证、卖方在交割日前的承诺、交割的先决条件和赔偿责任;二是风险转移。保险业设计了很多保险品种来处理并购交易中的风险(C.小阿瑟.威廉斯,2000)。利用保险来防范风险,降低并购的管理成本。

企业并购财务风险的涵义和种类的研究。钱海波(2006)认为财务风险是指因企业资本结构不同而影响企业支付本息能力的风险。汤谷良(2003)指出,并购的财务风险指交易前的价值评估风险、出资风险以及并购后的整合风险等;张应杰(2005)将企业并购中的财务风险来源分为系统性财务风险和非系统性财务风险。
企业并购财务风险的成因研究。谢诗蕾(2006)从企业并购财务风险的内涵来分析并购财务风险,认为企业并购财务风险包括:资本结构偏离产生的风险、业绩水平波动产生的风险、流动性风险和丧失投资机会的风险。对并购中财务风险的管理措施提出了接受风险、转移风险和规避风险三种策略。张水英(2006)认为企业并购失败的原因主要有:企业并购动机不明(包括为实现规模经济、低成本扩张及多元化经营而盲目并购);对目标企业不甚了解及政府干预过度等。尹红艳、张为民(2009)从财务分析的角度分析了财务风险的成因,主要来源于信息不对称、目标不明确、缺乏系统性价值评估和支付方式不当四个方面。

综上所述,对于并购财务风险的研究缺乏从整体上进行全面系统的分析,本文拟从企业并购财务风险的基本理论出发,首先提出了企业并购过程中存在的财务风险,然后分析企业并购过程中主要财务风险的形成原因,在此基础上提出应对企业
并购过程中财务风险的具体措施,层层推进,这样有助于企业对并购过程中的财务风险有系统、全面、理性的认识,通过对涉及到的财务风险的全局认识,采取相应的防范与控制措施,有效的减少不必要的损失,并对以后的实际运作提供可行性意见。
